Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, networks, and other services provided by Pyplan Inc. (collectively, the "Service"). The Service is operated by Pyplan Inc., a Delaware corporation ("Pyplan", "we", "us", or "our").
The Service is offered to you subject to these Terms. By clicking "Accept", by creating an account, or by accessing or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and by all Pyplan policies made available to you, including the Privacy Policy. If you do not agree to these Terms, do not access or use the Service.
If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity, and "you" refers to that entity.
1. Changes to these Terms
Pyplan may modify or update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice (for example, by email or an in-product notice). Any new features that are added to the Service are also subject to these Terms. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, your sole remedy is to stop using the Service.
2. Eligibility
To use the Service, you must be at least the age of majority in your jurisdiction and fully able and competent to enter into these Terms. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of an entity, you further represent that you are authorized to bind that entity to these Terms.
3. Account registration
Access to the Service requires an account, which is provisioned as part of your organization's subscription. When registering or maintaining an account, you agree to:
- Provide accurate, current, and complete information.
- Keep your account information up to date.
- Be responsible for all activity that occurs under your account.
Pyplan may suspend or terminate your account and refuse any and all current or future use of the Service if we reasonably suspect that your account information is inaccurate, incomplete, or not current.
4. How Pyplan is provided
Pyplan is a commercial planning and analytics platform provided to organizations under a subscription. Access is arranged directly with Pyplan (for example, by requesting a demo or contacting our team). Pyplan does not offer a free, community, or self-service consumer tier.
Pyplan may be provided through either of the following deployment models:
- Pyplan Cloud (SaaS) — a fully managed environment hosted by Pyplan on leading cloud infrastructure (such as Amazon Web Services), so your organization does not have to install or operate the platform itself.
- Customer-managed deployment — Pyplan deployed in your organization's own cloud account (AWS, Azure, GCP, or OCI) or behind your firewall.
The specific features, capacity, deployment model, and commercial terms that apply to you are set out in the subscription agreement or order form between your organization and Pyplan. When you create applications, models, dashboards, functions, or other assets (collectively, "apps") in Pyplan, you retain the rights to your content (see User Content and licenses) and control how it is shared within your environment.
5. Fees
Access to the Service is subject to the fees set out in the subscription agreement or order form between your organization and Pyplan. Unless that agreement states otherwise:
- Fees are invoiced according to the terms of your subscription agreement.
- Fees are exclusive of applicable taxes, which are your responsibility.
- If any undisputed amount is past due, Pyplan may suspend access to the Service until it is paid, and you agree to reimburse the reasonable costs (including reasonable attorneys' fees) incurred by Pyplan to collect past-due amounts.
Billing, renewal, and any refund terms are governed by your subscription agreement or order form. In the event of a conflict between this section and your subscription agreement, the subscription agreement controls.
6. Account security
You are responsible for maintaining the confidentiality of the username and password associated with your account, and you are fully responsible for all activities that occur under your credentials. You agree to notify Pyplan immediately at info@pyplan.com of any unauthorized use of your account or any other breach of security.
7. Account termination
Either party may terminate your access to the Service, subject to your subscription agreement:
- By you: You may request termination of your account and access to the Service by contacting us at info@pyplan.com or your Pyplan representative.
- By Pyplan: We may suspend or terminate your account and access to the Service where permitted by your subscription agreement or these Terms — for example, for non-payment, a breach of these Terms, or a risk to the security or integrity of the Service.
Even after your account is terminated, these Terms remain in effect to the extent required to give effect to their meaning. If Pyplan terminates your subscription solely for its own convenience, Pyplan will refund any prepaid fees attributable to the period after the effective termination date. Any other refund terms are governed by your subscription agreement.
8. Third-party services and links
Pyplan relies on third-party vendors and hosting partners to provide the hardware, software, networking, storage, and related technology required to run the Service. If a third party ceases to provide a relevant service, it may affect Pyplan's ability to provide part or all of the Service. Under such circumstances, Pyplan may cease providing the affected part of the Service.
Pyplan uses open-source libraries from the Python development community, which are developed by third parties and subject to different license conditions. In addition, you may import and use any library from the Python community to satisfy your own needs. We recommend reviewing the license conditions of each library before importing and using it in Pyplan.
The Service may contain links to third-party websites or third-party advertisements. We do not monitor or endorse those websites and make no guarantee as to their accuracy or completeness. You should review the applicable terms and privacy practices of any third-party website you access through the Service. Any dealings with third-party advertisers are solely between you and the third party.
9. Acceptable use
9.1 Data transmission
You understand that the technical processing and transmission of the Service, including your content, may involve transmissions over various networks and changes to conform to the technical requirements of connecting networks or devices. You must not transmit worms, viruses, or any code of a destructive nature through the Service.
For FTP servers you save in Pyplan, we store only the connection information you provide; once you delete an FTP server from Pyplan, that information is permanently deleted from the Pyplan database.
9.2 Prohibited conduct (abuse)
You agree that you will not use the Service to create or execute any injurious code, including trojans, keyloggers, viruses, malware, botnets, denial-of-service attacks, mail bombs, or logic bombs, or to take any action that Pyplan reasonably determines to be malicious.
You further agree not to transmit, distribute, post, store, link to, or otherwise traffic in content, information, software, or materials that:
- Are unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, offensive, or profane;
- Contain unlawful pornography, or that you know to be false, misleading, or inaccurate;
- Constitute unauthorized or unsolicited advertising;
- Impersonate any person or entity, including any Pyplan employee or representative; or
- Include another person's identification documents or sensitive financial information.
9.3 Prohibited uses (general)
Without limiting any other section of these Terms, you agree not to:
- Reverse engineer or otherwise attempt to derive source code or trade secrets from the Service;
- Access the Service to build a competitive product or service, or to monitor its availability, performance, or functionality for benchmarking or competitive purposes;
- Sell, resell, distribute, lease, or rent your access to the Service, or share, sell, or transfer your account credentials, except as permitted by your subscription agreement;
- Remove, circumvent, disable, damage, or otherwise interfere with security-related features of the Service;
- Copy, "frame," or "mirror" any part of the Service;
- Modify, adapt, or hack the Service, or modify another website to falsely imply that it is associated with the Service;
- Use the Service in any manner that could damage, disable, overburden, or impair it;
- Use automated scripts to collect information from, or otherwise interact with, the Service, except as expressly authorized;
- Impersonate any person or entity or misrepresent your affiliation with a person or entity;
- Solicit personal information from anyone under 18, or solicit passwords or personally identifying information for commercial or unlawful purposes;
- Intimidate or harass another person; or
- Use or attempt to use another's account, service, or system without authorization from Pyplan.
Violations of system or network security may result in civil or criminal liability. Pyplan may investigate and cooperate with law enforcement authorities to prosecute users involved in such violations.
10. User Content and licenses
You retain all rights to your User Content. "User Content" means the data, graphs, code, commentary, and derivative works you import, create, share, modify, or distribute through the Service.
- Content you choose to share. If you choose to make any User Content available to others through the Service (for example, by sharing an interface or app), you grant Pyplan a worldwide, royalty-free right to host, reproduce, adapt, and display that User Content solely as necessary to operate the Service and make it available to the recipients you designate. You may modify or remove your User Content through your account.
- Content standards. You agree not to upload, post, or distribute any material that: (a) breaches any duty toward, or rights of, any person or entity, including publicity or privacy rights; (b) contains corrupted data or harmful code; (c) is offensive or otherwise objectionable; (d) restricts or inhibits others from using the Service; (e) may expose Pyplan or its users to harm or liability; (f) constitutes unsolicited advertising or spam; (g) contains the private or confidential information of another person or entity (including personal health information) without authorization; or (h) violates any law or regulatory requirement.
- Moderation. Although Pyplan has no obligation to screen, edit, or monitor User Content, we reserve the right, in our sole discretion, to screen, edit, or remove any User Content at any time and for any reason without notice. We may also use or disclose information related to you (including User Content) to investigate or prevent prohibited or unlawful activity, to exercise our legal rights, or to protect the rights and property of Pyplan or any third party.
- No liability for User Content. To the maximum extent permitted by law, Pyplan assumes no liability for any User Content, including any loss of or damage to your User Content, your inability to access it, or any unauthorized third-party access to it.
- Publicity. Pyplan may reference your organization's name and logo to identify you as a customer in customer lists and marketing materials, subject to any restrictions in your subscription agreement. If you prefer that we not do so, contact us at info@pyplan.com.
11. Data and content storage
While your information is stored in the Pyplan database, it is encrypted. You expressly understand and agree that Pyplan has no responsibility or liability for the deletion of, or failure to store, any data or content maintained by or transmitted to Pyplan.

12. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PYPLAN EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing, Pyplan makes no warranty that: (a) the information, graphs, charts, data, and other content provided through the Service will be accurate, reliable, complete, or free from errors, omissions, or delays; (b) the Service will be available at any particular time or location; (c) defects or errors will be corrected; or (d) the Service is free of viruses or other harmful components. Support levels, if any, are defined in your subscription agreement.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PYPLAN, ITS AFFILIATES, OR ANY PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICE BE LIABLE FOR ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICE, OR IN CONNECTION WITH ANY LOST OR CORRUPTED DATA OR UNAUTHORIZED ACCESS TO YOUR DATA.
IF YOU HAVE A DISPUTE WITH ANOTHER USER, YOU RELEASE PYPLAN FROM ANY CLAIMS, DEMANDS, AND DAMAGES ARISING OUT OF OR CONNECTED WITH THAT DISPUTE.
Except where a different limitation is set out in your subscription agreement, the maximum total liability of Pyplan, its affiliates, and its licensors to you for any claim under these Terms is the amount received by Pyplan from you during the twelve (12) months preceding the claim.
These limitations apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Pyplan has been advised of the possibility of such damage, and even if a limited remedy fails of its essential purpose. Because some jurisdictions do not allow the exclusion or limitation of certain damages, Pyplan's liability in those jurisdictions will be limited to the extent permitted by law.
14. Indemnification
You will indemnify, defend, and hold harmless Pyplan and its licensors (and their respective employees, directors, agents, affiliates, and representatives) from and against any and all claims, costs, losses, damages, judgments, tax assessments, penalties, interest, and expenses (including reasonable attorneys' fees) arising out of any claim, action, audit, investigation, or other proceeding brought by a third party that arises out of or relates to: (i) your use of the Service or any activity under your account; (ii) your violation of these Terms, including your covenants, warranties, or representations; (iii) any User Content you upload to Pyplan; or (iv) the collection, storage, or disclosure of personal or health data in violation of applicable law, or any failure to obtain consents required by applicable law.
Pyplan reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.
15. Term and survival
These Terms remain in effect while you use the Service. The sections that by their nature should survive termination — including User Content and licenses, Disclaimer of warranties, Limitation of liability, Indemnification, and Miscellaneous — will survive termination of your account.
16. No waiver
Pyplan's failure to enforce any provision of these Terms, or to respond to a breach by you or others, does not waive our right to enforce any term or condition subsequently, or to act with respect to similar breaches.
17. Notices
Pyplan may provide you with notices by email, regular mail, or postings on the Service.
- If notice is provided by email, it is deemed given twenty-four (24) hours after the email is sent, unless we are notified that the address is invalid.
- If notice is provided by posting through the Service, it is deemed given upon posting.
- If notice is provided by postal mail to an address you provided, it is deemed given three (3) days after the date of mailing.
18. Miscellaneous
- No agency. No joint venture, partnership, employment, or agency relationship exists between you and Pyplan as a result of these Terms.
- Assignment. You may not transfer or assign these Terms or any rights granted hereunder. Pyplan may assign them without restriction, including by operation of law, merger, or sale of substantially all of its assets. Any assignment in violation of this section is void.
- Precedence. These Terms govern your use of the Service. If your organization has signed a separate subscription agreement or order form with Pyplan, that agreement controls to the extent of any conflict with these Terms.
- Entire agreement. Together with any applicable subscription agreement, these Terms constitute the entire agreement between you and Pyplan regarding the Service.
- Severability. If any portion of these Terms is held invalid or unenforceable, that portion will be construed to reflect the parties' original intent as nearly as possible, and the remaining portions will remain in full force and effect.
- Admissibility. A printed version of these Terms and of any electronic notice will be admissible in judicial or administrative proceedings to the same extent as other business records originally generated and maintained in printed form.
